WhatsApp Business Solution Terms

• Meta distributes the WhatsApp Business Solution to you under these WhatsApp Business Solution Terms. You agree to the WhatsApp Business Terms of Service (“Business Terms”), in which all references to “Business Services” means the WhatsApp Business Solution. To the extent there is a conflict between the Business Terms and these WhatsApp Business Solution Terms, the latter will govern. Capitalized terms have the meaning set forth in the Business Terms or herein contextually.
• You agree to use the WhatsApp Business Solution in compliance with (a) our technical and product documentation, and any other related documentation provided by Meta or WhatsApp (collectively “Documentation”); and (b) the WhatsApp Business Messaging Policy.
• Administrator. During the setup of your WhatsApp Business Account (WABA), you will appoint a system administrator(s) of your account who is responsible for managing your WhatsApp Business Account. You must ensure you have an active administrator at all times.
• Third Party Service Providers. You may retain a third party to manage your access to the WhatsApp Business Solution or otherwise in connection with your use of the WhatsApp Business Solution (a “Third Party Service Provider”) in accordance with the following:
  
  • To the extent your Third Party Service Provider has access to the WhatsApp Business Solution or any data you obtain from using the WhatsApp Business Solution (“Business Solution Data”), such Third Party Service Provider must agree in writing to (a) only use the WhatsApp Business Solution and process Business Solution Data on your behalf, pursuant to your instructions and authorization, to provide services that you request and for no other purpose, including for such Service Provider’s own purposes, (b) only process Business Solution Data in compliance with the provisions of these WhatsApp Business Solution Terms, the Business Terms, and other terms referenced or incorporated herein or therein, and (c) have in effect and maintain administrative, physical, and technical safeguards that (i) meet or exceed industry standards given the sensitivity of Business Solution Data, (ii) comply with applicable law and regulations, including data security and privacy laws, rules, and regulations, and (iii) are designed to prevent any unauthorized (including in violation of these WhatsApp Business Solution Terms or any other applicable terms or policies) processing (including, for the avoidance of doubt, access, destruction, loss, alteration, disclosure, distribution, or compromise) of Business Solution Data.
  • You are solely and fully liable for all acts and omissions by your Third Party Service Providers, and any breach of these WhatsApp Business Solution Terms, the Business Terms, and other terms referenced or incorporated herein, or therein by your Third Party Service Provider, shall be deemed a breach by you, with you being liable with respect to such breach as if you yourself had breached these WhatsApp Business Solution Terms, the Business Terms, and other terms referenced or incorporated herein or therein. To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Meta, WhatsApp, and their respective directors, officers, employees, affiliates, and agents from and against all liabilities, damages, losses, and expenses of any kind (including reasonable legal fees and costs) relating to, arising out of, or in any way in connection with any claim related to the acts or omissions of your Third Party Service Providers.
• Restrictions. You must not directly or indirectly (a) with the exception of the content of your message threads, use Business Solution Data to track, build, or augment profiles on individual WhatsApp users; (b) share, transfer, sell, license, or distribute Business Solution Data, including any anonymous, aggregate, or derived forms of Business Solution Data, to any third parties, except to a Third Party Service Provider in accordance with these WhatsApp Business Solution Terms; or (c) allow Business Solution Data, including any anonymous, aggregate, or derived forms of Business Solution Data, to be used by any third party to create, develop, train, or improve any machine learning or artificial intelligence systems, models, or technologies, including large language models (collectively, “AI Models”); provided that you may use Business Solution Data to fine-tune an AI Model that is for your exclusive use, so long as this does not result in Business Solution Data being used to create, develop, train, or improve any other AI Models. We may terminate your account and revoke your access if we reasonably determine that you have breached these restrictions. This Section survives termination of these WhatsApp Business Solution Terms.
• Reporting. You agree to provide us reports related to your usage of the WhatsApp Business Solution, as we may reasonably request from time to time, no later than 30 days following the date of our request.
• We may update these WhatsApp Business Solution Terms (“Change”); by continuing to use the WhatsApp Business Solution after such Change, you consent to such Change.
